1. Company Intellectual Property
Unless otherwise stated, the following materials may be owned by or licensed to Gobeens:
- Website content and documentation.
- Company branding, logos, and visual identity.
- Proprietary software and internal tools.
- Reusable software components.
- Development frameworks and utilities created by the Company.
- General-purpose scripts, templates, and libraries.
- Technical documentation and internal methodologies.
- Other materials developed independently of a client's project.
Nothing in this Policy transfers ownership of Company intellectual property to a client merely because the client accesses our website or purchases development services.
2. Client-Specific Deliverables
Ownership and licensing of client-specific deliverables will be expressly defined in the relevant quotation or project agreement. The agreement may identify custom source code, UI/UX designs, database schemas, technical documentation, application builds, website content created specifically for the project, and other agreed deliverables.
Where the agreement provides for an assignment of intellectual property rights, the assignment must be documented in writing and interpreted according to applicable law. Unless otherwise agreed, final handover and any ownership transfer conditional on payment will occur after relevant payment obligations have been satisfied.
3. Pre-Existing Intellectual Property
Gobeens may use pre-existing code, reusable components, libraries, development tools, templates, methods, and technical know-how to deliver a project. Unless expressly assigned in writing, these pre-existing materials remain subject to their existing ownership and licence arrangements.
The client receives only those rights necessary for the intended use of the deliverables as specified in the project agreement. Where a deliverable contains reusable Company components, the agreement should specify the licence or other rights granted to the client for those components.
4. Reuse of General Technical Knowledge
Subject to confidentiality obligations and the client's agreed intellectual property rights, Gobeens may reuse general skills, experience, ideas, techniques, methods, and know-how acquired while performing projects. This does not authorize the Company to disclose a client's confidential information or reuse proprietary client materials in violation of an agreement.
5. Third-Party and Open-Source Software
Projects may include third-party software, open-source libraries, frameworks, plugins, fonts, APIs, and other externally licensed materials. Such components remain governed by their respective licences.
A client may be required to comply with applicable attribution, distribution, source-disclosure, usage, or other licence obligations. The Company does not claim ownership of third-party materials merely because they are incorporated into a project.
6. Client-Supplied Materials
The client is responsible for ensuring that it has the necessary rights and permissions to provide materials for use in a project. These may include:
- Logos and trademarks.
- Photographs and videos.
- Text and content.
- Software and source code.
- Databases and datasets.
- Fonts and design assets.
- Third-party API credentials and integrations.
The client must not instruct Gobeens to use materials unlawfully or in violation of another party's rights. Where a client provides materials without necessary permissions, the resulting consequences will be addressed under the applicable agreement and law.
7. Portfolio and Publicity Rights
Gobeens may showcase publicly released projects in its portfolio where appropriate and legally permitted. The Company will respect confidentiality obligations and contractual restrictions on publicity.
For confidential or non-public projects, we will seek the client's permission before publishing identifying information, confidential screenshots, proprietary designs, or other restricted materials. Use of a client's logo, trademark, or name will be subject to applicable authorization and contractual requirements.
8. Restrictions on Unpaid Deliverables
Unless otherwise agreed in writing, source-code handover and any ownership transfer conditional on payment will be subject to the agreed payment terms.
The client must not treat a demonstration, preview, staging environment, or partially completed deliverable as authorization to commercially exploit materials that have not yet been licensed or transferred. This provision does not override any rights already granted under a binding agreement or applicable law.
9. Intellectual Property Complaints
If you believe that material on our website infringes your intellectual property rights, email info@gobeens.com with:
- Your name and contact details.
- Identification of the relevant intellectual property.
- The specific material or URL concerned.
- An explanation of the alleged infringement.
- Evidence of your authority to submit the complaint.
We will review sufficiently detailed complaints and take appropriate action where warranted.
10. No Implied Licence
Except for the limited rights expressly granted by us or available under law, no licence to Company intellectual property is granted merely through website access.
