2. Scope of Services
Our services may include website and e-commerce development, mobile application development, custom software development, SaaS and web application development, AI automation and AI-powered systems, API development and third-party integrations, UI/UX design, software maintenance and technical support, and our own software products.
Availability and scope depend on the relevant proposal, quotation, product description, or separate agreement. A description on our website does not, by itself, constitute a binding commitment to deliver a particular feature, result, timeline, or technical specification.
3. Website Use
You agree to use our website lawfully and responsibly. You must not:
- Use the website for an unlawful, fraudulent, or deceptive purpose.
- Attempt unauthorized access to our systems, servers, accounts, or infrastructure.
- Introduce malicious code or attempt to disrupt website operations.
- Interfere with the security or availability of our website.
- Copy, scrape, reproduce, or commercially exploit website content without authorization, except where permitted by law.
- Impersonate another person or misrepresent your identity.
- Submit information that you are not authorized to disclose.
- Violate the intellectual property or other legal rights of another person.
We may restrict or suspend website access where reasonably necessary to protect the website, users, our business, or legal compliance.
4. Enquiries and Quotations
An enquiry submitted through our website does not automatically create a service contract. Project pricing, scope, deliverables, milestones, payment schedules, estimated timelines, and other commercial conditions will be confirmed through a quotation, proposal, purchase order, or other written agreement.
Unless expressly stated otherwise, preliminary estimates are indicative and may change after requirements, dependencies, and technical feasibility have been assessed. A binding project commitment arises when the relevant commercial terms have been accepted through the agreed contracting process.
5. Project Scope and Change Requests
The agreed scope will be based on the applicable quotation or project agreement. Features, integrations, design changes, additional revisions, reports, modules, or other work outside that scope may require a separate quotation and additional charges.
We will seek the required approval before proceeding with chargeable scope changes. A change request may affect delivery dates, resource allocation, dependencies, testing requirements, and project cost.
6. Payments
Payment terms will be specified in the relevant quotation, invoice, or project agreement.
For projects using our standard milestone model:
| Milestone | Payment |
|---|
| Project confirmation | 30% |
| UI/UX presentation | 10% |
| Backend presentation | 30% |
| Frontend presentation | 20% |
| Complete testing | 10% |
This schedule applies only where adopted in the relevant agreement. A different written payment schedule may apply to a particular project. Invoices are payable by their stated due dates. Applicable taxes, including GST, will be charged as required by law.
7. Late Payments and Suspension
Where an instalment is not paid by its due date, a seven-calendar-day grace period will apply, unless the relevant agreement specifies otherwise.
If the amount remains unpaid after the grace period, we may issue written notice and suspend affected development work, access, support, deployment, or other services to the extent permitted by the agreement and applicable law.
Suspension may result in revised delivery timelines and resource rescheduling. The client remains responsible for amounts properly due for work performed and other agreed charges, subject to applicable law. We may resume suspended work after overdue amounts are cleared and required project dependencies are available.
8. Cancellation and Refunds
Project cancellation and refund eligibility are governed by our Refund and Cancellation Policy and the applicable project agreement.
Our general commercial position is that payments made toward a project are intended to cover committed resources, work, milestones, and project obligations and are not automatically refundable upon cancellation. Any cancellation settlement will be determined under the applicable agreement and law, taking into account relevant circumstances, including work completed, contractual commitments, and applicable statutory rights.
Nothing in these Terms excludes a refund or remedy that cannot lawfully be excluded.
9. Delivery, Testing, and Acceptance
Delivery methods and milestone requirements will be specified in the relevant project agreement. Deliverables may be provided through a repository, cloud storage, client infrastructure, a deployment environment, or another agreed method.
The applicable agreement may provide a 15-day period for reporting defects after the agreed delivery or testing milestone. The scope of any included defect-correction period depends on agreed specifications, exclusions, and warranty provisions. Additional features and changes to the agreed scope are not automatically included in defect correction.
10. Intellectual Property
Our website content, branding, graphics, text, and other materials are owned by or licensed to Gobeens unless otherwise stated. You may not reproduce, distribute, modify, or commercially exploit such materials without permission, except as permitted by applicable law.
Ownership and licensing of project-specific deliverables will be determined by the applicable written agreement. Unless expressly assigned in writing, our pre-existing code, reusable components, libraries, tools, frameworks, and general know-how remain subject to our existing ownership rights. Third-party and open-source components remain subject to their applicable licences.
11. Confidentiality
Confidential information exchanged during a project should be used only for the relevant business purpose and handled in accordance with the applicable agreement.
Clients must not disclose our confidential business information, internal documentation, non-public technical information, or proprietary materials without authorization. We will handle client confidential information in accordance with applicable contractual obligations and law. Where a separate confidentiality agreement applies, its terms will govern the relevant confidential information.
12. Third-Party Services
Projects may depend on third-party APIs, cloud infrastructure, hosting providers, payment systems, app stores, software libraries, AI services, or other external platforms. Such services may change their pricing, terms, features, availability, or technical requirements.
We are not responsible for failures caused by third-party systems beyond our reasonable control, except to the extent responsibility arises under applicable law or our agreement. Additional work required because of third-party changes may be subject to a separate quotation.
13. AI-Enabled Services
Some projects may use AI models, machine-learning systems, automation platforms, or generative AI services. AI outputs may contain inaccuracies, omissions, bias, or unexpected results. The applicable AI Usage Policy and project agreement will govern relevant responsibilities, verification requirements, data handling, and service limitations.
14. Website Availability
We aim to maintain a functional website but do not guarantee uninterrupted or error-free availability. Maintenance, infrastructure failures, security incidents, connectivity issues, and other events may temporarily affect access. This provision does not exclude obligations imposed by applicable law.
15. Disclaimers and Liability
Website information is provided for general informational purposes and may change over time. To the extent permitted by law, Gobeens will not be liable for indirect or consequential losses arising from website use where such exclusions are legally enforceable.
Liability relating to contracted services will be governed by the applicable project agreement. Nothing in these Terms excludes liability or statutory rights that cannot lawfully be excluded or restricted.
16. Indemnification
To the extent permitted by applicable law, a client or user may be responsible for losses and reasonable costs arising from their unlawful conduct, infringement of third-party rights, unauthorized materials, or material breach of applicable terms. Any indemnity under a project agreement will be interpreted according to its wording and applicable law.
17. Suspension and Termination
We may suspend website access or terminate a contractual relationship in circumstances permitted by the applicable agreement or law, including material breach, unlawful use, security risks, or prolonged payment default. Where appropriate, we will provide notice and a reasonable opportunity to remedy a breach.
Termination does not automatically eliminate accrued payment obligations or other provisions intended to survive termination.
18. Governing Law and Disputes
These Terms are governed by the laws of India. The parties should first attempt to resolve disputes through good-faith discussions.
Subject to applicable law and jurisdictional requirements, courts of competent jurisdiction in Gwalior, Madhya Pradesh, may hear disputes arising from these Terms. Nothing in this section removes any mandatory legal remedy or jurisdiction available under applicable law.
19. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with an updated date. Where legally required, additional notice or consent will be provided.
